Since 2003 Mr. Ushkalov has been a practicing advocate and Partner of the Advocate Bureau "Pleshakov, Ushkalov and Partners". In 1991 – 1995 a Lawyer in CJSC Borei, the law firm. In 1996-2002 Mr. Ushkalov advocate in the legal consultancy No. 4 of Moscow Bar Association No.1, transformed into the Advocate Bureau under the Federal Law On Advocacy and Bar in the Russian Federation. From 2000 to 2007 Mr. Ushkalov taught civil law at the law faculty of Lomonosov Moscow State University Since 2008 he has been teaching a special course named Contractual Procedures at the special department of MSU Law faculty.
He graduated from Law faculty of Lomonosov Moscow State University with honors in 1993; his discipline was legal science; Mr. Ushkalov specialized in civil law.
Mr. Ushkalov specializes in legal support of investment and corporate projects, real estate transactions, as well as in contractual and tax law.
Areas of practice: Development and support of large investment projects at construction and reconstruction of real estate objects. Development and support of real estate transactions (land sites, buildings, structures, non-residential premises). Support of mergers and acquisitions. Tax law (consulting, protection of companies’ interests in disputes with tax bodies at all stages of the dispute, including judicial proceedings, preliminary assessment of tax consequences following implementation of investment and corporate projects, as well as conclusion of various contracts, use of agreements eliminating double taxation); Arbitration proceedings (representation in arbitrage court, court of appeal and court of cassation). Legal support of companies’ commercial activity (preparation, expertise and support of contracts considering the requirements of tax and other branches of Russian legislation). Corporate law (consulting, preparation and legal expertise of internal documents – constitutive documents, provisions, protocols, decisions, etc., representation of economic entities’ interests and the interests of their participants in arbitration courts at consideration of corporate disputes). Contractual law (preparation of new contracts, legal expertise of existing contracts, including foreign trade contracts). Work with claims.
Mr. Ushkalov participated in such important projects as: 1. Support of transaction aimed at sale of shares of OJSC ChEAZ (2001) 2. Collection of royalty from OJSC Moskovsky Zavod Kristall (2001-2002); 3. Preparation of complete contractual base for CJSC Agentstvo Nedvizhimosti Novyye Cheryomushki – development of all types of contracts registering agency’s relations with its clients, including relations originating at sale, purchase, lease of residential and non-residential real estate objects, lease contracts, trust management contracts, as well as investment contracts (2001-2004); 4. Defense of OJSC Galichsky Avtokranovy Zavod and OJSC Klintsovsky Avtokranovy Zavod interests in disputes with tax bodies in a series of legal proceedings in regional courts (2003-2005); 5. Defense of joint-stock commercial bank Natsionalny Kapital (Moscow) during an attempted corporate takeover (2004-2005) 6. Development of individual draft contracts providing supply and assembly of modular boiler houses for LLC Kombinova Teplotekhnika (2005); 7. Participation in legal support at sale of the controlling stake of OJSC Stroitransgaz (2005-2007); 8. Support of transaction aimed at sale of share in a business (manufacturing of automotive-type crane equipment) (2006), 9. Protection of OJSC Yuzhnaya Neftyanaya Kompaniya interests in disputes with LLC Astrakhangazprom in the Arbitration court of Astrakhan region, Federal Arbitration Court of Volga district and Supreme Arbitration court (2007-2009); 10. Complex legal support at simultaneous purchase of assets (shares, participatory interests, realty, chose in action) by a group of companies in various Russian regions, including development of purchase schemes, preparation of draft contracts and internal corporate documents with further legal support of purchaser’s group (since 2009).
